By signing above, I confirm that I understand, affirm and authorize the following information: Presti Consulting Group LLC, DBA Top Local Search Marketing (TLSM), a Texas Corporation, will perform all the deliverables listed above on the “Local SEO” order and that a certain number of phone calls and/or new customers, referrals, rankings and/or results on Google, Yahoo, Bing, the Internet are not guaranteed. Client acknowledges that TLSM begins work on Client’s account immediately, and provides to Client proprietary material, including but not limited to trade secrets, copyrighted material, and other intellectual property, in reliance on Client’s promise to fulfill the Minimum Term and provide the required notice of termination. If a website changes its terms or no longer exists, TLSM reserves the right at their discretion to no longer work with the website on behalf of the client. The name and personal information provided on this form are true and correct.
FULL DISCLOSURE CLAUSE: Client agrees to full disclosure of all marketing efforts currently undertaken on behalf of the client or client’s business. As the nature of the marketing TLSM administers on behalf of the client ranges widely and depends on the consistent application, the client agrees to inform TLSM in writing before engaging any third party organization for marketing purposes during the duration of the campaign term. TLSM is not held responsible for any damages resulting from a business name, phone number and /or address change request.
I authorize Top Local Search Marketing to bill my credit card $997.00 for the cost of the setup fee and $397.00 per month every 30 days. All credit card transactions will be processed using a secure online internet e-commerce gateway system. I understand that attaching my e-signature is the legal equivalent of submitting a document signed by hand. By signing above I agree that this digital signature will represent my true signature. These charges are non-refundable and I waive all chargeback rights.
Top Local Search Marketing owns the licensing rights to all videos, images, blogs, articles, press releases, training manuals, keyword optimization, on-site meta data, and any other intellectual or design property created during this program. TLSM reserves the right to remove this information if the Client is in breach of this Agreement.
If the Client fails to pay all amounts due during the Minimum Term, Client shall pay to TLSM as liquidated damages the sum of 90 percent of the remaining payments due during the Minimum Term. If 30 days’ prior to the end of the Minimum Term or anytime thereafter, Client fails to provide 30 days’ advance notice of Client’s desire to terminate, Client shall pay to TLSM as liquidated damages the sum of 100 percent of the payments that were due during the 30-day notice period. Client agrees that the aforementioned formulas for liquidated damages is a reasonable forecast of just compensation in light of the difficulty of estimation of the harm caused by such a breach. In the event I sell the Business, retire, or for any other reason do not associate with the Business I will be personally obligated to fulfill this agreement and monthly payments associated with the said agreement.
I understand that the commitment for this program is a minimum of 12 months from the date of this agreement. Top Local Search Marketing can terminate this agreement if the client is in default of any terms herein, and fails to cure those defaults within 15 days. Top Local Search Marketing may, but is not required to, provide notice of the default to Client. This Agreement shall be governed by the laws of the state of Texas in Travis County. The Client hereby unconditionally waives his/her/its rights to a jury trial of any claim or cause of action based upon or arising out of, directly or indirectly, this contract or the subject matter therein. In the event of litigation, this contract may be filed as a written consent to a trial by the court. In the event that litigation, mediation or legal action results from or arises out of this Agreement or the performance thereof, the Parties agree to litigate and resolve in the state of Texas in Travis County.
If I so choose to cancel this service on or after the initial 12 month commitment, I must provide 30 day written notice via email to Info@TopLocalSearchMarketing.com and I am obligated to pay for one month of services.
Confidentiality: The parties and their agents shall keep the contents of this Agreement confidential and not divulge its terms (specifically including, but not limited to, the amount of money to be paid) to any person or entity except that (1) the parties may disclose the terms of this Agreement to their legal and management level employees on a “need-to-know” basis; (2) the parties may disclose the terms of this Agreement to his spouse and to his accountant or financial advisor to the extent necessary to render tax or financial advice; and (3) either party may disclose the terms of this Agreement in response to court order or to the extent necessary to enforce the Agreement by legal process, or in order to comply with the Agreement.

By providing the requested information above I understand my contractual agreements with Top Local Search Marketing and agree to adhere to the billing schedule. Due to the level of man hours needed to implement the TLSM Local Search Marketing Program, no refunds or credits will be issued. This service is a 12 month minimum commitment and I must give 30 days written notice via email if I so choose to cancel this service. I understand that I will be obligated to pay for the next 1 month of service after the cancellation notice is received.
